Code of Ethics

Introduction

The Voice Void Library (together with its affiliates, the “Company”) has established this Code of Ethics (“Code”) for all external partners to promote:

Honest and ethical conduct
Proper handling of conflicts of interest
Accurate and transparent communications
Compliance with applicable laws and regulations
Protection of Company assets and confidential information
Fair and responsible business practices
Timely reporting of violations
Accountability for adherence to this Code

All external partners are required to understand, comply with, and report any actual or suspected violations of this Code.

Honest and Ethical Conduct

External partners must conduct all business activities with integrity and high ethical standards.

They are expected to act responsibly and professionally when dealing with:

The Company
Customers
Suppliers
Service providers
Competitors
Other partners

Conflict of Interest

A conflict of interest occurs when personal or financial interests interfere—or appear to interfere—with the interests of the Company.

Examples include:

Gaining improper personal benefit from the partnership
Private dealings that affect objectivity
Financial or personal relationships influencing decisions

Conflicts must be avoided unless disclosed and approved in advance. If uncertain, partners should seek legal advice and notify the Company when necessary.

Confidentiality

External partners must protect all confidential information received from the Company or related parties.

This includes:

Non-public business information
Technical data
Strategic or financial details

Disclosure is only permitted if legally required or explicitly authorized.

Fair Dealing

All partners must engage fairly with others.

Prohibited practices include:

Misrepresentation
Concealment of material facts
Misuse of confidential information
Manipulation or unfair advantage

Protection and Proper Use of Assets

External partners must protect Company assets and use them responsibly.

This includes:

Preventing theft, misuse, or waste
Using assets only for legitimate purposes
Safeguarding intellectual property such as:
Trade secrets
Designs
Data
Business plans

Any suspected misuse must be reported immediately.

Compliance with Laws

External partners must comply with all applicable laws and regulations in the jurisdictions where they operate.

If unsure about legal obligations, partners should consult their legal advisors.

Insider Information

External partners must not misuse confidential or non-public information.

This includes:

Using such information for personal gain
Sharing it with others improperly
Acting on confidential business or financial data

Such behavior is strictly prohibited.

Cooperation in Disclosures

External partners may be required to provide accurate information for official reporting.

They must:

Respond promptly and accurately
Provide complete and reliable data
Respect confidentiality and contractual limits

The Company retains responsibility for all official disclosures.

Anti-Corruption and Anti-Bribery

External partners must comply with all anti-corruption laws.

They must not:

Offer or accept bribes
Provide benefits to gain unfair advantage
Make unlawful facilitation payments

They must also maintain accurate financial records.

Trade Compliance

External partners must comply with all relevant trade and export laws.

This includes:

Avoiding restricted entities or jurisdictions
Obtaining necessary licenses
Maintaining accurate documentation

Anti-Money Laundering

External partners must not engage in or facilitate illegal financial activities.

They must:

Perform reasonable due diligence
Report suspicious transactions
Maintain accurate records

Reporting Violations

Any violation or suspected violation must be reported promptly.

If unsure, partners should consult their legal advisors before reporting.

Investigation

All reported violations will be investigated thoroughly and fairly.

External partners are expected to cooperate fully with any investigation.

No Retaliation

The Company strictly prohibits retaliation against anyone who reports a violation in good faith.

Enforcement

If a violation is confirmed, the Company may take appropriate actions, including:

Terminating the partnership
Seeking compensation for damages
Reporting to authorities where required

Waivers

Any request for an exception to this Code must be submitted in writing and approved in advance.
